Terms of Use

These Terms of Use (these "Terms") set out the conditions for using the services (our website, applications and related services, collectively the "Service") provided by the Flashvery operations team ("we", "us", "our"). Users of the Service (including creators, purchasers and visitors, collectively "Users") must agree to these Terms before using the Service.

1. Scope and changes

  1. These Terms apply to all relationships between Users and us in connection with the use of the Service.
  2. We may revise these Terms when necessary. In the case of important changes, we will notify Users by posting on the site or by email, and the revised Terms will apply after such notice or from the effective date specified in the notice.

3. Accounts

  • You must keep your registration information accurate and up to date.
  • You are solely responsible for managing your account. If you become aware of any unauthorised use of your account, you must contact us promptly.
  • The Service is intended for users who are 18 years of age or older. Persons under 18 may not use the Service.

4. Roles and parties to transactions

  • Creators are the sellers of the content they offer, and they are the contracting parties to sales transactions with purchasers.
  • We provide the platform and act as a payment intermediary. Unless otherwise required by law, we are not a party to transactions between Users.

5. Fees, charges and payments

  • Platform fee: we charge a 15% platform fee on each sale (this rate may be changed in the future). In the future, we may reduce the fee rate for creators who subscribe to certain plans.
  • Payment processing fees: payment processing fees charged by Stripe or other payment providers are, in principle, borne by us. However, the treatment of fees in relation to refunds, chargebacks and similar events follows the rules of the relevant payment provider.
  • Payouts: we use Stripe and other services to settle sales revenue. The payout schedule, minimum payout amount, identity verification (KYC) requirements and other conditions are set out in the dashboard, help pages or similar documentation.
  • Adjustments: in the event of chargebacks, refunds or suspected fraud, we may offset such amounts against the creator's sales proceeds, set reserves, temporarily suspend payouts or request repayment, as appropriate. If a User's balance is insufficient, we may take steps to recover the outstanding amount.
  • Verification: before making payouts, we may require additional information for KYC, sanctions screening and fraud detection. If there are reasonable doubts, we may temporarily suspend payouts while we investigate.
  • Taxes: creators are generally responsible for setting prices and complying with applicable tax obligations (including consumption tax, VAT and similar taxes). Where required by law, we may act as a tax withholding or collection agent.

6. Content and rights

  • Ownership: copyright and other intellectual property rights in guides, photos, text and other user-generated content ("UGC") belong to the creator who uploaded them.
  • Licence to us: to operate and improve the Service, you grant us a non-exclusive, worldwide, royalty-free licence to host, cache, display, distribute and technically process your UGC (including compression, conversion, thumbnail generation and similar technical optimisations).
  • Authorised use by purchasers: purchasers may view purchased guides for their own personal use only. Redistribution, copying, public transmission, resale and other uses beyond this scope are prohibited.
  • Promotional use of public content: by setting content (such as guides, spots, text and photos) to "public" or "all users", you grant us a royalty-free licence to use, reproduce, edit and publicly transmit such content on Flashvery's official social media accounts (including X, Instagram, TikTok and similar platforms), our website, advertisements, promotional materials and other marketing activities. We will make reasonable efforts to credit the creator's name when using such content, but may omit credit where media constraints or other practical reasons make this impractical. If you change the visibility setting of your content from public to a more restricted setting, we will not make new uses of that content going forward; however, we may continue to use materials that have already been published.
  • Promotion of non-public content: any promotional use of content that is not set to public will be based on the individual consent of the creator.
  • Representations and warranties: creators represent and warrant that they have all rights necessary to upload and sell their UGC and that such UGC does not violate any rights, laws, contracts or rules (including facility rules and terms of use of third-party services).
  • Indemnity: to the extent permitted by applicable law, if we incur any loss, damage or costs (including reasonable attorneys' fees) due to a User's UGC or conduct, that User agrees to indemnify, defend and hold us harmless.

Claims of rights infringement (notice, takedown and counter-notice)

  • If we receive a claim alleging that content infringes rights, we may remove or hide the relevant content to the extent necessary.
  • The uploader may send a counter-notice to support@flashvery.com, and we will review it appropriately.

7. Content operation policy

  • Continuity of sales: in principle, there is no fixed expiry date for selling guides. Guides that have at least one purchaser, or that have been bookmarked by any user, cannot be deleted or made private (although their content may be updated).
  • Preview protection: previews for non-purchasers will be protected using methods such as blurring, dummy data or partial display.
  • Minimum price: for payment and fraud prevention reasons, we may set minimum price thresholds for guides.

8. Prohibited conduct

Users must not engage in any of the following conduct:

  • Violating laws or regulations, infringing the rights of others, or disclosing personal data or sensitive information of third parties without consent.
  • Encouraging dangerous activities, entering restricted areas or private property without permission, or publishing discriminatory, defamatory, adult, illegal or otherwise inappropriate content.
  • Scraping, reverse engineering, attempting to exploit vulnerabilities, or lending, sharing or transferring accounts.
  • Engaging in fraudulent reviews, manipulating rankings, or redistributing / reselling content.
  • Violating economic sanctions or export/import control laws, or using the Service from, or on behalf of, sanctioned regions or parties.
  • Any other conduct that we deem inappropriate.

9. Refunds and cancellations

  • As a general rule, digital content is non-refundable (except where required by law or where a creator has established a separate refund policy).
  • In cases of unauthorised purchases, duplicate payments or similar, we will investigate and respond appropriately.

10. Use of AI features

  • When you use AI features (such as "Story Builder"), your input, output and related metadata may be sent to AI service providers.
  • We do not guarantee the accuracy, completeness or suitability of generated content. Creators must review and edit AI-generated content themselves before publishing.

11. Changes and termination of the Service

  • We may change, suspend or discontinue all or part of the Service where reasonably necessary. If there is a significant impact on Users, we will provide notice by reasonable means.

Interim measures (suspension, deletion and restrictions)

  • If we reasonably suspect rights infringement, fraud, security risks or similar issues, we may, without prior notice, take interim measures such as deleting content, temporarily suspending accounts or restricting the use of certain features.

12. Disclaimer of warranties

  • The Service and all content are provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all express or implied warranties, including but not limited to warranties of accuracy, reliability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

  • To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, consequential or special damages, loss of opportunity, loss of data or loss of profits, except in cases of our wilful misconduct or gross negligence.
  • Our total liability to any User in connection with the Service is limited to the greater of (a) the total amount of platform fees paid by that User to us during the 12 months immediately preceding the event giving rise to the claim, or (b) JPY 10,000.
  • Some jurisdictions do not allow limitations or exclusions of liability. In such cases, these Terms will be applied and, where necessary, modified to the extent permitted by the applicable mandatory provisions.

14. Third-party services

  • When using Stripe or other external services in connection with the Service, the terms and conditions of those third-party providers also apply. Users must comply with those terms in addition to these Terms.

15. Governing law and jurisdiction

  • These Terms are governed by the laws of Japan.
  • Any disputes arising out of or relating to the Service will be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance, except where consumer protection laws in a User's jurisdiction provide otherwise.

16. Language

  • The original and legally binding version of these Terms is the Japanese version. This English version is provided for convenience only. In the event of any inconsistency, the Japanese version will prevail.

17. Notices

  • We may provide notices to Users by posting on the site, sending in-app notifications or sending emails to the registered email address. Unless otherwise specified, notices are deemed to have been received when sent, subject to reasonable exceptions (for example, prolonged system failures).

18. Force majeure

  • We are not liable for any delay or failure in performance due to causes beyond our reasonable control, including but not limited to natural disasters, power outages, communication failures, cyberattacks, changes in laws, government actions, labour disputes or disruptions in third-party services.

19. Assignment

  • We may transfer our position under these Terms and our rights and obligations relating to the Service to a third party in connection with a merger, corporate split, business transfer or similar transaction. Users agree in advance to such transfers.

20. No guarantee of rankings or recommendations

  • We do not guarantee any particular search result, ranking, recommendation, highlight position or level of revenue. Our algorithms and criteria may be updated or changed from time to time.
